Promoters & large shareholders selling their existing stake via exchange mechanisms — retail allocation calendars
What is OFS – Offer for Sale?
Offer for Sale (OFS) is a specialized bidding mechanism on BSE and NSE through which promoters or significant shareholders of listed companies can dilute their stakes. OFS is faster and cheaper than a traditional FPO. Retail bidding typically occurs on the second business day of the issue, offering shares at a floor price (often at a premium retail discount).

❓ Frequently Asked Questions
What is an Offer for Sale (OFS)?
OFS is a simplified transaction facility allowed by SEBI where promoters of a listed company can sell their existing shareholding directly to the public through the stock exchange bidding window.
How does the OFS bidding cycle work?
An OFS is typically open for two business days. Day 1 is reserved exclusively for non-retail (institutional) bidding. Day 2 is reserved for retail investors to place their bids. Bidding hours are standard market hours (9:15 AM to 3:30 PM).
Who is classified as a retail investor in OFS?
A retail investor is defined as an individual who places bids for shares whose aggregate value does not exceed ₹2 Lakh across the exchanges in that specific OFS issue.
What is a Floor Price and Retail Discount?
The seller declares a minimum price, known as the Floor Price, below which no bids are accepted. To encourage retail participation, promoters often offer a retail discount (typically 2% to 5% off the cut-off price or floor price).
Is applying for an OFS different from an IPO?
Yes. In an IPO, you apply for new shares and funds are blocked via ASBA. In an OFS, you bid directly for existing shares and must have 100% margin cash available in your trading account at the time of bidding. Shares are credited to your demat account within T+1 or T+2 days upon successful allocation.
